1. The Service
ContractAI provides a cloud-based intelligent contract review platform. Subject to the terms of this Agreement, you may purchase a subscription to access and use the Service. All subscriptions are for the period described in your Order. ContractAI retains all right, title, and interest in the Service, Software, and all related materials.
2. Use Restrictions
You agree not to: modify, reverse-engineer, or create derivative works of the Service; sublicense, sell, or transfer your access; use the Service to build competing products; or violate any applicable laws. ContractAI may suspend access if your usage threatens the security or integrity of the platform.
3. Third-Party Applications
The Service may integrate with or allow access to third-party applications and services. ContractAI is not responsible for the availability, accuracy, or security of third-party services. Your use of any third-party application is subject to their respective terms and privacy policies.
4. Payment Obligations
Fees are as specified in your Order. All fees are non-cancelable and non-refundable unless otherwise stated. Payment is processed via credit card or ACH through our payment processor. You are responsible for all applicable taxes. Failure to pay may result in suspension of service.
5. Term & Termination
Either party may terminate this Agreement upon 30 days written notice if the other party materially breaches and fails to cure. Upon termination, all rights granted will immediately terminate. ContractAI will delete your data within 30 days of termination upon request.
6. Warranties & Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. ContractAI disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free service.
7. Limitation of Liability
ContractAI shall not be liable for indirect, special, incidental, or consequential damages. Total liability is limited to fees paid during the 12 months preceding the claim. These limitations apply regardless of whether a party has been advised of the possibility of such damages.
8. Confidentiality & Data
Both parties agree to protect confidential information with no less than a reasonable degree of care. Your User Submissions remain your property. ContractAI processes data in accordance with our Data Protection Agreement and implements industry-standard security measures.
9. Data Protection
ContractAI will process personal data on your behalf as a data processor under applicable data protection laws. We implement appropriate technical and organizational measures to ensure a level of security appropriate to the risk. Data is stored in secure, SOC 2 compliant data centers.
10. Governing Law
This Agreement is governed by the laws of the State of Wyoming, without regard to conflict of laws provisions. Any disputes shall be resolved in the state and federal courts of Wyoming. Each party waives any right to jury trial.
